1. Acceptance of Terms

These Terms & Conditions ("Agreement") govern the use of the Builder Monkey website (https://www.buildermonkey.com) and any software development, digital marketing, SEO, Google Ads, or automation services provided by Builder Monkey Web Services Private Limited ("Builder Monkey", "we", "our").

By accessing this website, requesting an audit, booking a strategy session, or signing a statement of work (SOW), you agree to be bound by these terms.

2. Services & Engagements

Builder Monkey operates on a structured, milestone-driven framework. All custom projects are governed by a mutually agreed Statement of Work (SOW) or sprint agreement detailing the scope, timeline, deliverables, and fees.

• Software & MVP Development: Delivered in iterative sprints with sprint demos, milestone acceptance, and clean code documentation.
• Digital Marketing & Growth Systems: Managed on structured monthly retainer models plus direct client-funded media budgets (Google Ads, Meta Ads).

3. Intellectual Property & Code Ownership

Total Client Ownership: Upon full payment of agreed invoices for custom development, all bespoke source code, database architectures, graphics, and written content created specifically for your project become your exclusive intellectual property.

All advertising accounts (Google Ads, Meta Business Manager), analytics profiles, and domain registrations are established directly in your name. Builder Monkey maintains no proprietary lock-in.

Builder Monkey retains ownership of pre-existing proprietary developer tooling, boilerplate libraries, and general methodologies utilized in delivering the services.

4. Client Obligations & Access

To enable efficient project delivery, the client agrees to:

• Provide timely feedback, approvals, and domain/server access within agreed sprint timelines.
• Ensure all assets, copy, and trademarks supplied to Builder Monkey do not infringe upon any third-party rights.
• Directly fund ad platform accounts (Google, Meta) using their own billing instruments.

5. Fees, Billing & Invoicing

Fees are agreed upon upfront prior to commencement. Custom software projects are quoted in fixed-price milestones. Marketing retainers are invoiced on a fixed monthly basis.

Invoices are payable within the terms specified on the invoice (typically net 7 or net 14 days). Ad spend is paid directly by the client to the respective advertising platform.

6. Performance & Disclaimers

We commit to professional, engineering-grade workmanship following industry best practices for security, Core Web Vitals, and tracking accuracy.

No Vanity Guarantees: While we engineer campaigns for maximum ROAS and lead generation, search engine algorithms (Google) and auction-based ad platforms are subject to market volatility. Builder Monkey does not make false "guaranteed #1 ranking" promises. We test, measure, and scale with real data.

7. Limitation of Liability

To the maximum extent permitted by applicable law, neither party shall be liable for any indirect, incidental, special, consequential, or punitive damages (including loss of profits, revenue, or business opportunity).

Builder Monkey's aggregate liability for claims arising out of any engagement shall not exceed the total fees paid by the client to Builder Monkey under the applicable SOW in the three (3) months preceding the incident.

8. Term & Termination

Either party may terminate an ongoing retainer agreement by providing thirty (30) days written notice. In the event of termination, the client remains responsible for fees incurred for work completed up to the termination date.

Upon final settlement, Builder Monkey will immediately transfer and archive all repositories, documentation, and credentials to the client.

9. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts in Bangalore, Karnataka, India.

10. Website Use & Third-Party Links

You may use this website for lawful purposes only. You agree not to misuse the contact form (for example by sending spam or malicious content), attempt to gain unauthorized access to our systems, or copy or republish our content without permission.
